Terms of Use

This site is owned and operated by Corporate Travel Service, Inc. (referred to in these Terms of Use as “CTS”).  By using forms.ctscentral.net and/or any Web site (referred to as the “Site”) owned, operated, licensed or controlled by CTS, you signify your agreement to the following terms of use.  If you do not agree to these terms, you may not use this Site and you must exit this Site immediately.

Intellectual Property

All information, text, logos, graphics, images, software, and other content (referred to as the “Materials”) that make up this Site are the property of CTS or its licensors.  No Materials from the Site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except that you may download one copy of site Materials on any single computer for your personal, non-commercial home use only, provided you keep intact all copyright and other proprietary notices.  Modification of the Materials or use of the Materials for any other purpose is a violation of CTS’s copyright and other proprietary rights.  Journalists and search engines may cite or refer to the URL of this site without limitation.  All trademarks, service marks, and trade names appearing in the Site are the property of their respective owners.

The Materials and this site are provided on an “as is, as available” basis without warranties of any kind either express or implied.  To the fullest extent permissible pursuant to applicable law, CTS disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement.  CTS does not warrant that this site or the server that makes it available are free of viruses or other harmful components.  You (and not CTS) assume the entire cost of all necessary servicing, repair or correction.  CTS makes no representations or warranties regarding the use or the results of the use of the Materials in this site in terms of their currency, correctness, accuracy, reliability, or otherwise.  CTS makes no representations or warranties whatsoever about any third party services or any web site which you may access through this site.  When you access a non-CTS site, understand that it is independent from CTS and CTS has no control over or responsibility for contents on or the availability of that web site.  A link to a non-CTS web site does not constitute or imply an endorsement or recommendation by CTS.  All information on this site regarding travel programs, dates, prices, services and products is subject to change without notice.  Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

Limitation of Liability

Under no circumstances, including, but not limited to, negligence, shall CTS be liable for any direct, indirect, special or consequential damages arising out of or related to the use of, or the inability to use, the Materials in this site or on any other hyperlinked web site or any third party services, even if CTS has been advised of the possibility of such damages.  Applicable law may not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

The Materials may refer to transportation, hotel accommodations, restaurants and other services that are supplied by various independent suppliers that are not subject to CTS’s control.

CTS, its employees, shareholders, officers and directors do not own or operate any entity which is to or does provide goods or services for your trip, including, for example, lodging facilities, transportation companies, local ground operators, including, without limitation, various entities which may utilize the CTS name, guides, sightseeing companies, entertainment, food or drink service providers, equipment suppliers, etc.  As a result, CTS is not responsible for any negligent or willful act or failure to act of any such person or entity.  In addition, CTS is not responsible for any negligent or willful act or failure to act of any person or entity it does not own or control, nor for any act or inaction of any other third party not under its control.  Without limitation CTS is not liable for any direct, indirect, consequential, or incidental damage, injury, death, loss, accident, delay, inconvenience or irregularity of any kind which may be occasioned by reason of any act or omission beyond its control, including, without limitation any willful or negligent act, failure to act, breach of contract or violation of local law or regulation of any third party such as an airline, train, hotel, bus, taxi, van, local groundhandler or guide, whether or not it uses the CTS name, financial default or insolvency of any supplier which is to, or does supply any goods or services for this trip.  Similarly, CTS is not responsible for any loss, injury, death or inconvenience due to delay or changes in schedule, overbooking of accommodation, default of any third party, attacks by animals, injury or death while on activities sponsored by lodging facilities or by other third parties, sickness, the lack of appropriate medical care, evacuation to same, if necessary, weather, strikes, acts of God or government, acts of terrorism, or the threat thereof, force majeure, war, quarantine, epidemics, or the threat thereof, criminal activity, or any other cause beyond its control.

Any and all disputes arising out of or relating in any way to these terms of use, to CTS’s brochures or any other of its literature or sales presentations, to this website, or any other information relating in any way to your trip with CTS, or to the trip itself, shall be resolved solely and exclusively by binding arbitration according to the then current commercial rules of the American Arbitration Association. Any such arbitration will take place in Dearborn Heights, Michigan. In any such arbitration, the substantive (but not procedural) law of Michigan will apply. The arbitrator and not any federal, state, or local court or agency shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, conscionability, or formation of this contract, including but not limited to any claim that all or any part of this contract is void or voidable.

This agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without giving effect to any principles of conflicts of law.  If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

By submitting ideas, suggestions, documents and/or proposals (“Contributions”) to CTS, you acknowledge and agree that:  (a) your contributions do not contain confidential or proprietary information; (b) CTS is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) CTS shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) CTS may have something similar to the Contributions already under consideration or in development; (e)  your Contributions automatically become the property of CTS without any obligation of CTS to you; and (f) you are not entitled to any compensation or reimbursement of any kind from CTS under any circumstances.
